Fundamentals of Corporate Taxation

This comprehensive course focuses on the foundational rules for corporate taxation including formation, special deductions, computation of taxable income, earnings and profits, and distributions to shareholders. The course includes practical application, problem solving, and discussion of planning opportunities.

Learning Objectives

After completing this course, you will be able to:

  • Estimate the tax consequences to the shareholders for a corporate formation.
  • Recognize the tax consequences of organizational expenses, start-up costs, and syndication costs.
  • Estimate taxable income for a corporation including the application of charitable contributions, dividends received deduction, and limitations on deductions.
  • Select other special rules for computing corporate taxable income including capital gains and losses and accounting methods and periods.
  • Indicate the penalty taxes that apply to corporations if earnings are inappropriately accumulated and not distributed to shareholders.
  •  Estimate the business tax credits available for a corporation.
  • Distinguish the tax consequences of shareholder distributions taxed as dividends.
  • Estimate a corporation’s earnings and profits to determine the shareholder’s dividend income from a corporate distribution.
  • Indicate the tax consequences of property distributions to the corporation and the shareholder.
